Terms of Service

Introduction These Terms of Service (“Terms”) govern your access to and use of the website www.vayak.in (the “Site”) and any services, products, content or features offered by Vayak Global (“we”, “us”, “our”). By accessing or using the Site or requesting a quote, submitting an enquiry, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site or Services.

 

1. Scope and Acceptance

These Terms apply to all users, visitors, customers and prospects. Additional terms may apply to specific services or transactions (e.g., service agreements, quotes, purchase orders). In case of conflict, the specific service agreement prevails.

 

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. By using the Site you represent and warrant that you meet these eligibility requirements.

 

3. Services, Quotes and Enquiries

  • Enquiries and quotes: When you submit an enquiry or request a quote, you agree that the information provided is accurate and complete. We may rely on that information to prepare proposals.

  • No binding contract until accepted: Submitting an enquiry or receiving a quote does not create a binding contract. A binding contract is formed only when we and you execute a written agreement or when we accept your order in writing.

  • Estimates and timelines: Any estimates, timelines or deliverables provided are indicative and subject to change unless expressly agreed in writing.

 

4. User Accounts

  • Account creation: Some features may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

  • Accuracy: You must provide accurate, current and complete information. Notify us of any unauthorized use.

  • Termination: We may suspend or terminate accounts for breach of these Terms or for security reasons.

 

5. User Content and License

  • User content: You may submit content (e.g., text, images, documents) in connection with enquiries or Services (“User Content”). You retain ownership of your User Content.

  • License to Vayak Global: By submitting User Content you grant Vayak Global a non‑exclusive, worldwide, royalty‑free, transferable license to use, reproduce, modify, adapt, publish and display such content solely to provide the Services and to improve our offerings.

  • Prohibited content: You must not submit content that is unlawful, infringing, defamatory, obscene, discriminatory or that violates any third‑party rights. We may remove or refuse content at our discretion.

 

6. Intellectual Property

  • Our IP: All intellectual property rights in the Site, Services, content, software, designs, trademarks and materials provided by Vayak are owned by or licensed to Vayak. Except for the limited license below, no rights are granted.

  • Limited license: Subject to these Terms, we grant you a limited, non‑exclusive, non‑transferable license to access and use the Site for your personal or business purposes.

  • Feedback: If you provide feedback, you grant us a perpetual, irrevocable license to use it without restriction.

 

7. Payments and Fees

  • Fees: Fees for Services will be set out in quotes or service agreements. All fees are exclusive of taxes unless stated.

  • Payment terms: Payment terms will be specified in the quote or agreement. Late payments may incur interest and suspension of Services.

  • Third‑party payment processors: Payment card data is processed by third‑party payment processors; we do not store full card details unless explicitly stated.

 

8. Warranties and Disclaimers

  • No implied warranties: Except as expressly provided, the Site and Services are provided “as is” and “as available” without warranties of any kind.

  • Limited warranty: Where we provide a warranty in a written agreement, that warranty is limited as stated.

  • No guarantee of results: We do not guarantee specific outcomes, search rankings, or business results.

 

9. Limitation of Liability

To the maximum extent permitted by law, Vayak and its affiliates, officers, employees and agents will not be liable for:

  • indirect, incidental, special, consequential or punitive damages;

  • loss of profits, revenue, data or business opportunities;

  • any claim arising from your use of the Site or Services beyond the fees paid to Vayak Global for the relevant Services.

Our aggregate liability for direct damages arising out of or related to these Terms will not exceed the total fees paid by you to Vayak Global for the specific Services giving rise to the claim in the 12 months preceding the claim.

 

10. Indemnity

You agree to indemnify and hold Vayak Global harmless from any claims, liabilities, losses, damages and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your User Content; (c) your violation of applicable law; or (d) your use of the Site or Services.

 

11. Confidentiality

Each party will keep confidential the other party’s confidential information and will not disclose it except to employees, advisors or subcontractors who need to know and are bound by confidentiality obligations. Confidential information does not include information that is public, independently developed or required to be disclosed by law.

 

12. Termination and Suspension

We may suspend or terminate access to the Site or Services for breach of these Terms, non‑payment, security concerns, or legal reasons. Termination does not relieve you of obligations accrued prior to termination (e.g., payment obligations, indemnities).

 

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts in Mumbai, India, unless otherwise agreed in writing.

 

14. Changes to Terms

We may modify these Terms from time to time. We will post updated Terms on the Site with the effective date. Continued use of the Site after changes constitutes acceptance of the revised Terms.

 

15. Notices

Notices to you may be sent by email or posted on the Site. Notices to Vayak Global should be sent to: support@vayak.in (or the address listed on the Site).

 

16. Miscellaneous

  • Severability: If any provision is held invalid, the remainder will continue in effect.

  • Entire agreement: These Terms, together with any service agreements and the Privacy Policy, constitute the entire agreement between you and Vayak Global regarding the Site and Services.

  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights.
